The short version - what you're agreeing to
Use the website and our services in good faith. We work hard and honestly, and these terms cover both the Site and our services, including the WaaS subscription (section 4a). The essentials: we cannot guarantee marketing outcomes like rankings or leads; you are responsible for your business and the information you give us; and our liability is capped as described in section 7.
1. Acceptance of terms
By accessing or using https://suncoastlocal.com (the "Site") or engaging Suncoast Local for services, you agree to these Terms of Service. If you do not agree, do not use the Site or our services.
2. Use of the website
You may use the Site for any lawful purpose. You may not:
- Attempt to gain unauthorized access to any part of the Site
- Scrape or copy content for republication without permission
- Submit false or misleading information through any form
- Use automated tools to send mass form submissions
- Use the Site in a way that disrupts or impairs it for other users
3. Services
As of July 2026, our primary offering is Website as a Service ("WaaS"): a subscription that includes the custom design and build of a complete website (with a bundled AI chatbot), managed hosting and security, ongoing content publication, ten (10) local landing pages (additional pages available for an additional fee), lead capture, and client editing access - for a one-time setup fee of $749 and a flat monthly subscription of $179 (the published Founding Client rates; see section 4). Work outside the WaaS scope, where accepted, is quoted individually: it is documented in a separate written proposal that you accept electronically before work begins; that proposal is the binding contract for the specific project, and these Terms of Service cover the general framework around it.
4. Pricing
The WaaS subscription is priced as published on the Site: $749 one-time setup + $179 per month (the published Founding Client rate; the standard list price is $1,999 setup + $249 per month). A client who signs up at a published founding rate keeps that monthly rate for the life of their continuous subscription. The setup fee is billed at signup and is non-refundable once build work has begun; the monthly subscription begins when the client approves the site and it goes live, or 14 days after signup, whichever comes first (where a delay is caused by us, the start date is extended accordingly), and renews on that same date each month, billed automatically via Stripe. Either party may cancel the subscription with 30 days written notice.
Prices for any individually quoted work are confirmed in writing in the proposal before work begins. We reserve the right to update Site pricing for new subscribers at any time. For existing subscribers on a founding rate, the monthly rate is locked for the life of the continuous subscription and will not be raised; for other existing subscribers, any price change requires at least 30 days written notice, and a subscriber notified of a price change may cancel within the notice period without penalty. The buyout schedule in section 4a is fixed for the life of each client's agreement.
4a. WaaS subscription terms & ownership buyout schedule
The Website-as-a-Service subscription works as follows:
- Setup fee: $749 one-time (Founding Client rate; list price $1,999), billed at signup. Non-refundable once build work has begun.
- Monthly subscription: $179 per month (Founding Client rate, locked for the life of the continuous subscription; list price $249 per month), billed automatically via Stripe starting the day the client approves the site and it goes live, or 14 days after signup, whichever comes first (extended when a delay is caused by us), renewing on that date each month.
- What is included: the custom design and build of the website, managed hosting, SSL, daily backups, security and uptime monitoring, the AI chatbot and its ongoing tuning, recurring blog content publication (three posts weekly), ten (10) local landing pages (additional pages available for an additional fee), lead capture and the client leads inbox, and client editing access. Work outside this scope is quoted individually in writing before it is performed.
- Ownership during the subscription: The website code, design files, and proprietary platform infrastructure remain the property of Suncoast Local while the subscription is active. The client receives a license to use the website for the duration of the subscription.
- Ownership buyout schedule: At any time, the
client may purchase full ownership of their website - complete code,
design, imagery, and all written content - for the amount set by the
client's tenure at the time of purchase:
- Months 1-12 of the subscription: $7,499
- Months 13-24: $3,999
- Months 25-36: $1,999
- Months 37-48: $999
- Month 49 onward: $299 (transfer fee only)
- Client domain: If the client does not yet have a domain, one is registered on the client's behalf, in the client's name, at no additional charge. The domain name is always registered in the client's name and is never the property of Suncoast Local.
- Client content: Text, photos, and brand assets the client provides remain the client's property at all times. In addition, upon cancellation the client receives an export of the site's written content (page copy and blog posts) even without a buyout.
- Client data: Lead capture data, chatbot conversation logs, and analytics data belong to the client and can be exported at any time at no extra cost.
- Late payments: 30 days past due, the website is taken offline (a "site temporarily unavailable" page is shown). 60 days past due, the subscription is terminated and the website is removed from our servers. The client retains the domain and any exported data. Payments already made are not refunded. The buyout schedule remains available during the 30-60 day window.
- Cancellation by client: 30 days written notice, any time, no penalty. The website goes offline at the end of the notice period unless the client exercises the buyout. Payments already made are not refunded.
- Cancellation by Suncoast Local: We may end a subscription with 60 days written notice. If we cancel (other than for non-payment or abuse), the client may exercise the buyout at the next-lower tenure bracket as a courtesy.
WaaS subscriptions are offered at the discretion of Suncoast Local. We may decline or discontinue service for abuse, unlawful content, or fraud concerns.
5. Intellectual property
All content on the Site - text, images, logos, code - is owned by Suncoast Local or used with permission. The Suncoast Local name, logo, and brand identity are property of Suncoast Local.
For WaaS subscriptions, the website code, design files, and proprietary platform infrastructure remain the property of Suncoast Local while the subscription is active; the client holds a use license tied to the active subscription, and full ownership transfers upon exercise of the buyout schedule in section 4a. For individually quoted custom projects, ownership of website deliverables transfers upon final payment as documented in the project proposal.
Client-provided content (text, photos, brand assets) and client- generated data (leads, CRM records, chatbot logs) always remain the client's property regardless of payment structure.
6. No warranties; no guaranteed results
The Site and our services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
We build and operate websites with care, but we do not warrant - and nothing on this Site or said by us should be read as a promise of - any particular business outcome. That includes search-engine rankings, visibility in AI search or answer engines, website traffic, lead volume, conversions, or revenue. Search engines and AI platforms change constantly and are outside anyone's control.
Portions of the websites we operate - including blog articles and chatbot responses - are generated with AI assistance and may contain errors or omissions despite review. Published content and chatbot responses are general information, not professional advice. Clients are responsible for reviewing the content published on their own sites and for the accuracy of the business information they provide to us.
7. Limitation of liability
To the maximum extent permitted by law, Suncoast Local is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of business, arising out of or related to the Site or any services, even if advised of the possibility of such damages.
For paid services, our total cumulative liability for all claims combined is limited to the amount of fees you actually paid us in the three (3) months immediately preceding the event giving rise to the claim. For claims related only to use of the Site itself, our total liability is limited to $100 USD.
Any claim arising out of or relating to the Site or our services must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
8. Your content and responsibilities; indemnification
You are responsible for the accuracy and lawfulness of all information and materials you provide for your website - business details, service claims, licensing and insurance status, photos, logos, and reviews - and for operating your business in compliance with applicable laws. We provide websites; we are not responsible for the products or services your business sells or how you deliver them.
You agree to indemnify, defend, and hold harmless Suncoast Local from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) content or materials you provide, (b) your products, services, or business operations, or (c) your violation of these terms or of applicable law.
9. Third-party services and links
The websites we build and operate depend on third-party infrastructure and services we do not control - including hosting providers, content-delivery networks, domain registrars, payment processing (Stripe), email delivery, and AI providers. We are not liable for outages, changes, errors, or data handling of any third-party service. The Site may also link to third-party websites; we are not responsible for the content, privacy practices, or accuracy of any external site.
10. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, power or internet outages, labor disputes, governmental action, or failures of third-party providers.
11. Termination
We may suspend or terminate access to the Site if you violate these terms or use it in a way that harms us or other users.
12. Governing law
These terms are governed by the laws of the State of Florida, USA. Any dispute will be resolved in the courts of Sarasota County, Florida.
13. Changes
We may update these terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Site after changes constitutes acceptance.
